Key points at a glance

  • When contracts and templates grow without structure, nobody can see which version applies and where liability, termination, rights or exit become critical.
  • ITMR organises contract portfolio, templates, approvals and deadlines by risk.
  • You receive a clear line for templates, redlines, responsibilities, deadlines and digital filing.
  • The software provider handles the selection and set-up of a contract tool separately.
  • Your contact is Jean Paul Bohne and his team. He is a specialist lawyer for IT law and for copyright and media law. Response on working days within 24 hours.
SaaS
Software as a Service. Software used over the internet rather than installed.
SLA
Service level agreement. It sets out availability, response times and customer service.
AVV
Data processing agreement under Art. 28 GDPR. It governs how a service provider processes data on your behalf.
TOM
Technical and organisational measures. Companies use them to protect personal data.

Occasions for a mandate

When does contract management become a risk?

When contracts have to be steered instead of just filed.

Contract management is a question of steering. It connects content, responsibility, process and evidence.

The contract portfolio has no clear priorities. Many documents exist, but nobody can see which contracts are critical and which version applies.

Templates are drifting apart. Quotes, T&Cs, framework agreements and annexes contradict each other on liability, term, termination, rights of use or order of precedence.

Deadlines and renewals become risky. Terminations, automatic renewals, price adjustments and exit paths are not anchored in the process.

A digital contract tool is about to launch. Roles, data fields, approvals, retention, signature and data protection are not yet organised legally.

by the software provider

IT, SaaS and data protection annexes interlock. Main contract, SLA, DPA, security annex and pricing rules are looked at individually although they govern the same risk situation.

Sales or procurement need documents ready for approval. Customers, providers or purchasing demand documents that are consistent, negotiable and verifiable.

Our focus is on contract landscapes with a digital element. These include software, SaaS, cloud, platforms, agency services, data protection, trade secret protection and chains of rights.

Our contract radar shows which clauses in SaaS, cloud or agency contracts deserve particular attention.

Process

How does the cooperation work?

In three steps from portfolio to a manageable contract situation.

  1. 01

    Send the situation

The contract portfolio, templates, critical contracts, tool context, a list of deadlines or a short description of the problems are enough to get started.

  2. 02

    Clarify priorities

We assess which contracts, clauses, processes or deadlines should be reviewed, updated, negotiated or documented first.

  3. 03

    Set up the line

You receive a clear line for templates, approvals, redlines, responsibilities, deadlines, digital filing and next steps.

Four review questions for your contract portfolio

  1. 1Which contracts are critical?

What matters is revenue, liability, dependency, term, data access, rights, termination, security relevance and escalation risk.

  2. 2Which version takes precedence?

Main contract, T&Cs, service description, quote, SLA, DPA, security annex and addenda need a clear order of precedence. Otherwise the contract situation becomes blurred in a dispute.

  3. 3Who may deviate?

Risks arise from unmanaged deviations. A good system separates standard, approvable deviation and red line.

  4. 4Which deadlines must be right?

Notice periods, renewals, price changes, audit rights, deletion, return and exit support must remain traceable in the process.

How long does it take? We complete most work steps within a few working days. How quickly it goes depends on the scope and your feedback. Do you have a fixed date, such as a launch? Tell us right away in your enquiry and we will plan for it.

Separate by risk

Which contracts need a deeper review?

We sort by risk rather than by document.

Risk classTypical featuresDepth of review
Low riskRoutine contracts, clear exchange of services, low liability, short term, no sensitive datarecord in the process
Elevated riskRecurring templates, customer commitments, deviations from T&Cs, personal data, renewal pressurereview clauses
Critical riskKey providers, cloud dependency, rights of use, audit rights, exit, security relevance, due diligencereview in depth and renegotiate

Typical mistakes

Which mistakes do we see in contract portfolios?

Six patterns from our practice.

Filing without assessment

Contracts are filed but not assessed by risk.

Copied templates

Templates are copied although business model, service or liability do not fit.

Contradictory annexes

DPA, SLA and main contract contradict each other.

Undocumented deviations

Deviations are negotiated but not documented in an approval rule.

Reminders without priority

Deadlines trigger technical reminders but are not legally prioritised.

Tool before concept

A contract tool is introduced before it is clear which data and decisions it should map.

Alternatives

When is a specialist review a better fit?

If the case comes down to a single contract type, the specialist page is faster.

Review a SaaS contract

For cloud software, MSA, order form, SLA, DPA, security and exit.

Software development contract

For scope, change, acceptance, project phases, rights and project steering.

Software licence agreement

For group use, OEM, audit, metrics, additional licensing and chain of rights.

Maintenance contract and SLA

For error classes, availability, response times and escalation.

Have your DPA reviewed

For processing on behalf, TOMs, sub-processors, transfers and provider approval.

Outsourced legal department

For ongoing legal support beyond contract management.

Legal framework

Which rules come together in contract management?

Recurring contract templates are general terms and conditions under Section 305(1) BGB. Individually agreed terms take precedence over T&Cs under Section 305b BGB.

Doubts in interpreting T&Cs are resolved against the user under Section 305c(2) BGB. Content review under Section 307 BGB also applies between businesses.

If you use service providers with access to personal data, you need a contract under Art. 28 GDPR.

For electronic signatures, the eIDAS Regulation (EU) No 910/2014 is the European framework. Under Section 126a BGB, only the qualified electronic signature replaces statutory written form.

Limits

What does the package not cover?

Clear limits protect your planning.

  1. 1
    No software

We review contract tools legally, not as a software provider.

  2. 2
No full review of every contract

We review on a risk basis. We record routine contracts in the process.

  3. 3
    No promise of outcome

Whether a contracting party agrees to an addendum is its own decision.

  4. 4
    The decision remains yours

Which risks you accept is your decision.

What you can expect as a result

  • An overview of critical contracts and deadlines.
  • Aligned templates with a clear order of precedence.
  • Approval rules that teams can use day to day.

FAQ

What do companies ask about contract management?

What does legal contract management include?

The legal structuring of the contract portfolio, templates, clauses, deadlines, approvals, responsibilities and negotiating positions. The goal is contract operations that remain manageable within the company.

When is a review of the contract portfolio worthwhile?

When contracts have grown, templates are used inconsistently, deadlines are unclear or an audit, deal, tool rollout, dispute or due diligence is coming up.

Does every contract have to be reviewed in full?

No. We first sort by importance, term, liability, data relevance, rights and dependency. We then decide with you what is reviewed in depth, updated or only recorded.

Do you build templates and approval processes?

Yes. We structure contract templates, clause rules, redline standards, approval limits, responsibilities and escalation paths for sales, procurement, legal, IT and management.

Do you also review digital contract tools?

We review from a legal perspective which contract data, roles, access rights, deadlines, risk classes and signature types fit and how data protection, retention and approval are documented.

When is a specialist review better?

When a specific contract type determines the case, such as a SaaS contract, software development contract, licence agreement, maintenance contract or a DPA.

Can an ongoing contract be improved after the fact?

We see many ways to do this, but rarely unilaterally. Options include addenda, side letters, new service annexes, documented risk approvals or preparing the next round of negotiations.

Next step

Is your contract portfolio still manageable?

Another template contract will not solve the problem. We clarify with you which contracts are critical, which deadlines count and which process makes the situation controllable.
